• Violation of these Terms;
• Creating risk or potential legal exposure for us;
• Extended periods of inactivity; or
• Requests by law enforcement or other government agencies.

3.1 Description of Services

Chef GPT is an AI-powered cooking assistant that provides personalized recipes, cooking guidance, meal planning, nutrition analysis, and related services. The Services may include access to AI-generated content, tools, features, and functionality that may evolve over time.

3.2 Service Limitations

While we strive to provide accurate and reliable information, the Services are provided for informational purposes only. The recipes, nutritional information, and other content provided through the Services are generated by artificial intelligence and may not be suitable for individuals with specific dietary restrictions, allergies, or health conditions. You should use your own judgment regarding the suitability of any recipe or ingredient for your specific needs.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue the Services or any feature or functionality of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4.2 Payment Processing

We use third-party payment processors to process payments for the Services. By providing your payment information, you authorize us to charge your payment method for the applicable fees. You agree to provide accurate and complete payment information and to keep this information updated.

4.3 Subscription Renewal

Subscription plans automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. By subscribing, you authorize us to charge your payment method for the renewal period at the then-current rate.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at support@aitwo.com. If you cancel, you will continue to have access to the subscription features until the end of your current billing period, after which your access will be downgraded to the free version of the Services, if available.

Digital Content and Waiver of Right to Withdraw: Due to the instant digital nature of our Services and the immediate costs incurred for AI processing (GPU resources), the purchase of credits or subscription plans waives your right to withdraw from the purchase. Each transaction is considered final once the digital content (AI-generated recipes, meal plans, or nutrition analysis) has been delivered or the credits have been added to your account.

If you believe you are entitled to a refund, please contact us at support@aitwo.com. Refund requests will be evaluated on a case-by-case basis, and we reserve the right to decline refund requests that do not meet our refund criteria as outlined in our Refund Policy.

5.1 User Content Definition

"User Content" means any text, data, images, or other content that you submit to or through the Services, including recipes, comments, feedback, and suggestions.

5.2 Ownership of User Content

You retain all rights in the User Content you submit to the Services. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

5.3 User Content Restrictions

You agree not to submit User Content that:

• Violates any applicable law or regulation;
• Infringes any third party's intellectual property or other rights;
• Is harmful, abusive, defamatory, obscene, or otherwise objectionable;
• Contains any malicious code, virus, or other harmful components;
• Constitutes unsolicited promotional material or spam; or
• Impersonates any person or entity.

We reserve the right to remove any User Content that violates these restrictions or that we otherwise find objectionable, without notice or liability to you.

6.1 Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Chef GPT, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

• Modify, reproduce, distribute, publicly display, or publicly perform the Services or any content therein;
• Use any data mining, robots, or similar data gathering or extraction methods;
• Use the Services for any commercial purpose;
• Access or use the Services in any way that could damage, disable, overburden, or impair our servers or networks; or
• Remove any copyright, trademark, or other proprietary notices from the Services.

6.3 AI-Generated Content

The recipes, meal plans, and other AI-generated content provided through the Services are owned by Chef GPT. You may use this content for your personal, non-commercial use, but you may not reproduce, distribute, publicly display, or publicly perform this content without our express written permission. You may share individual recipes on social media platforms, provided you attribute them to Chef GPT and include a link to our website.

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Chef GPT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES OR ANY CONTENT, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT PROVIDED THROUGH THE SERVICES, INCLUDING RECIPES, NUTRITIONAL INFORMATION, AND MEAL PLANS. THE USE OF THE SERVICES AND THE CONTENT PROVIDED THROUGH THE SERVICES IS AT YOUR OWN RISK.

THE SERVICES ARE NOT INTENDED TO PROVIDE MEDICAL, NUTRITIONAL, OR DIETARY ADVICE. THE CONTENT PROVIDED THROUGH THE SERVICES SHOULD NOT BE USED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL, NUTRITIONAL, OR DIETARY ADVICE. IF YOU HAVE ANY HEALTH CONCERNS OR QUESTIONS ABOUT DIETARY RESTRICTIONS, YOU SHOULD CONSULT WITH A QUALIFIED HEALTHCARE PROFESSIONAL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Chef GPT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Chef GPT, its affiliates, and their respective licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in San Francisco County, California, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

We reserve the right to modify or update these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice through the Services or by other means, such as email. Your continued use of the Services after the changes become effective constitutes your acceptance of the updated Terms.

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Chef GPT regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. No waiver of any provision of these Terms will constitute a waiver of such provision in any prior, concurrent, or subsequent circumstance. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms will remain in full force and effect.

12.2 Waiver

No waiver by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
